1. Acceptance of Terms

By accessing mintoverlays.com or installing or using the Mint Overlays desktop app (together, the "Service"), you agree to these Terms of Service ("Terms"). If you don't agree, don't use the Service.

2. Description of Service

Mint Overlays is a Windows desktop app for live streamers. It connects to TikTok LIVE, Twitch, YouTube and Kick using the channel name you enter, and turns publicly broadcast live event data (such as chat, gifts, follows, likes and shares) into overlays, alerts, sounds, videos, games and automations that you add to your streaming software, such as TikTok LIVE Studio or OBS. The app runs on your own computer. It is sold as a subscription, or as a one-time Founders Edition license, through Gumroad (see Section 7).

3. Eligibility

You must be at least 13 years old, and old enough to use each platform you connect, consistent with that platform's own minimum age requirement. By using the Service, you represent that you meet these requirements and that your use of those platforms complies with their own terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of the terms or community guidelines of any platform you connect;
• Reverse engineer, decompile, resell, sublicense, or redistribute the app or any part of the Service without our written permission;
• Share, sell, or publish your license key;
• Use the Service to harass, defraud, or spam any person or live audience;
• Attempt to interfere with, disrupt, or gain unauthorized access to the Service, its license checks, or its underlying systems.

5. Third-Party Platforms

The Service connects to TikTok LIVE, Twitch, YouTube and Kick to retrieve publicly broadcast event data. Mint Overlays is not affiliated with, endorsed by, or sponsored by TikTok, ByteDance Ltd., Twitch, YouTube, Google or Kick in any way. 6. Intellectual Property

Mint Overlays retains all rights, title, and interest in the Service, including its software, designs, themes, and branding. Your license to use the app is personal, non-exclusive, and non-transferable, for your own livestreaming. It does not transfer ownership of the underlying software.

7. Purchases, Subscriptions and License Keys

Gumroad. Mint Overlays is sold exclusively through Gumroad. All payment processing, receipts, cancellations, order fulfillment, and refund requests are handled by Gumroad under its own terms. See our Refund Policy for details.

Plans. Mint Overlays is offered as a monthly or yearly subscription. Some early customers hold a one-time Founders Edition license. Prices are shown at checkout on Gumroad.

License key. Using the app requires a valid license key. You enter it once in the app, and it stays saved on your computer. The app checks your key with Gumroad. A subscription key stays active while your subscription is active. If a subscription ends, or cannot be confirmed for an extended period, the app pauses until you enter a valid key; your saved settings stay on your computer. Founders Edition keys remain valid permanently.

Price changes. We may change our prices from time to time. A new price applies to new subscribers. If you are already subscribed, your price stays the same for as long as your subscription stays active. If you cancel and later subscribe again, the price at that time applies.

8. Affiliate Program

Mint Overlays offers an optional affiliate program, run through Gumroad. You can join at mintoverlays.gumroad.com/affiliates. If you join, these terms also apply to you:

• Commission. Affiliates earn a 20% commission, on both the monthly and the yearly plan, on payments for Mint Overlays subscriptions bought by customers who sign up through the affiliate's personal affiliate link. For a subscription, the commission is paid on each subscription payment for as long as that customer stays subscribed.
• Referrals must go through your link. A sale is credited to an affiliate only when the customer bought through that affiliate's link, as recorded by Gumroad. We cannot credit, honor, or pay commission on a referral that did not go through your link: for example, someone who heard about Mint Overlays from you but signed up another way, or who clicked another affiliate's link later. We are not able to add a referral to your account after a purchase, and we do not pay commissions outside of Gumroad.
• Tracking and payment. Gumroad tracks affiliate sales and pays commissions under its own terms and payout schedule. You need a Gumroad account to receive commission. Fees, payout timing, and taxes are governed by Gumroad, and you are responsible for your own taxes.
• Refunds. If a sale is refunded, the related commission is reversed.
• Honest promotion. Promote Mint Overlays accurately. Do not make false or misleading claims, promise results or earnings, spam, or suggest that Mint Overlays is affiliated with or endorsed by TikTok or any other platform.
• No guarantee. We do not guarantee any earnings. We may remove an affiliate, or change or end the program, at any time; changes apply going forward.

9. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure. We do not guarantee the accuracy of any live event data displayed, or that the Service will remain compatible with any platform, which may change at any time without notice.

10. Limitation of Liability

To the fullest extent permitted by law, Mint Overlays and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service, including any action taken against your TikTok account, streaming platform, or business as a result of using the Service. In no event shall our total liability to you for any claim exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Mint Overlays and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights, including the terms of any platform you connect.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Service after changes means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles, regardless of your location.
